These Supplier Terms apply to any manufacturer, distributor, EPC contractor, integrator, installer or service provider ("Supplier") that lists, quotes or transacts on HatchMatch Group. They supplement the Terms of Service.

1. Independent contractor

Each Supplier is an independent contractor. HatchMatch Group is not a broker of record, agent, distributor, partner, joint venture or employer of the Supplier and is not a party to any contract between Supplier and buyer.

2. Verification

Suppliers must submit and keep current accurate company registration, VAT / tax IDs, factory address, ultimate beneficial ownership, relevant certifications (ISO / CE / GlobalG.A.P. / veterinary / biosecurity as applicable), export track record and reference projects. HatchMatch Group may request underlying documentation at any time and may delist or suspend suppliers whose declarations are not verified, are outdated or are misleading.

3. Product & content warranties

Supplier represents and warrants that its products and services comply with applicable safety, animal welfare, biosecurity, environmental and export laws in the destination country; that all product images, drawings, catalogues, brochures and specifications are owned by Supplier or duly licensed; and that Supplier has full authority to enter into and perform each transaction offered.

4. Quoting & performance

Supplier is solely and exclusively responsible for pricing, quotation validity, technical scope, Incoterms, delivery, installation, commissioning, training, spare parts, warranty, after-sales service and any refunds. Buyers rely on Supplier's information.

5. Fees & anti-circumvention

Where subscription or introduction fees apply, they are disclosed at onboarding. Supplier must not encourage or accept off-platform dealings after an introduction with the purpose of avoiding fees.

6. Data protection

Supplier is an independent data controller for any personal data of buyers or their representatives that Supplier receives to quote or perform. Supplier must comply with the GDPR / applicable data-protection laws, provide its own privacy notice, and honour data-subject rights.

7. AML, sanctions, anti-bribery

Supplier warrants that it has appropriate AML, CTF, sanctions, export-control, anti-bribery and anti-corruption policies, that it will not accept payments from or ship to sanctioned parties or prohibited end-uses, and that it will cooperate with reasonable due-diligence requests. 8. Prohibited conduct

Suppliers must not misuse buyer data, spam or harass buyers, publish counterfeit or non-conforming products, fabricate ratings or references, submit deceptive certifications, or violate the Acceptable Use Policy.

9. Enforcement

To the maximum extent permitted by applicable law, HatchMatch Group may warn, restrict, suspend, delist or permanently ban any Supplier, remove listings, reverse introductions and cooperate with authorities where appropriate.

10. Governing law

These Supplier Terms are governed by the laws of the Republic of Cyprus with exclusive jurisdiction of the competent courts of Cyprus.
